§ 1 Scope
(1) These General Terms and Conditions (“Terms”) apply to all contracts between Hasanain Al-Saadi, Growli Media, Kanadaring 16, 77933 Lahr, Germany (“Contractor”) and its customers for web design, web development, search engine optimisation (SEO/AIO), hosting, maintenance, branding and related services.
(2) Our offer is aimed exclusively at businesses within the meaning of § 14 German Civil Code (BGB) (including self-employed persons, associations and freelancers) acting in the exercise of their commercial or self-employed activity (“Customer”).
(3) Deviating or supplementary terms of the Customer only become part of the contract if we have expressly agreed to them in text form. Individual agreements, in particular in the quote, take precedence over these Terms.
(4) We refer to these Terms in our quotes and make them available for retrieval and printing at https://growli.media/agb. They apply upon acceptance of the quote.
§ 2 Services
(1) The type and scope of the services result from the respective quote or service description. We perform our services in accordance with the state of the art and with due care.
(2) We are free to choose the means, the technologies and the service providers used (e.g. website builders, hosting providers), unless agreed otherwise and provided that the agreed quality is achieved.
(3) Additional services not included in the quote are only provided under a separate agreement and for separate remuneration.
(4) We do not provide legal advice. This applies in particular to the legal notice (Impressum), privacy policy, cookie consent, accessibility, competition, trademark, copyright and advertising law for medicinal products. Placeholders, templates or technical integrations of legal texts that we provide do not replace a review by a lawyer; the Customer is responsible for the content and accuracy of these texts on the Customer's website unless expressly agreed otherwise.
(5) We may use subcontractors and freelancers. We remain responsible to the Customer for contractual performance; those engaged are bound to confidentiality and – insofar as they process personal data – to data protection.
(6) We may use AI-supported tools (e.g. for drafts, texts or code) and review the results before handover. Copyright protection of AI-generated content cannot be guaranteed. The Customer tells us if it does not want AI used for its project or if there are special confidentiality requirements.
§ 3 Quote and conclusion of contract
(1) Unless stated otherwise, quotes are valid for 30 days. A contract is concluded when the Customer accepts the quote in text form (e.g. email) or by our order confirmation.
(2) The free introductory call is non-binding and does not create a contract.
§ 4 Customer's cooperation
(1) The Customer provides us with the content required for the service (texts, images, logos, access data, approvals) in good time, completely and in a suitable form, and names a contact person.
(2) The Customer assures that it holds the necessary rights to the content it supplies and that its use does not infringe third-party rights. The Customer indemnifies us against third-party claims in this respect unless the Customer is not responsible for the infringement.
(3) If the Customer's cooperation is delayed, agreed dates are postponed accordingly. Additional effort resulting from this may be charged separately.
§ 5 Performance, deadlines and change requests
(1) Information on the duration of a project (e.g. “2 to 6 weeks”) are non-binding guide values unless we have expressly promised binding dates.
(2) Review and revision rounds included in the quote are included in the number stated there. Change requests beyond that and subsequent changes to the scope of services are charged separately according to effort.
(3) If the Customer terminates a work contract before acceptance, the services rendered up to that point must be paid for; otherwise § 648 BGB applies.
(4) Events of force majeure and other obstacles for which we are not responsible (e.g. failure of internet, power or third-party providers, illness) extend agreed deadlines appropriately.
§ 6 Remuneration and payment
(1) The remuneration results from the quote. The prices stated are final prices. As a small business within the meaning of § 19 UStG (German VAT Act), no VAT is charged or shown. Should the small business scheme cease to apply in future, prices for services rendered from that point in time are exclusive of statutory VAT.
(2) Unless agreed otherwise, invoices are payable within 14 days of the invoice date without deduction. Partial or advance payments may be agreed in the quote. We are entitled to require an advance payment of up to 50% of the remuneration before the project starts and to begin work only once it has been received.
(3) In case of late payment the statutory provisions apply. We are entitled to interrupt work until payment is received.
(4) For domains, licences, fonts, stock photos and similar third-party costs, the arrangement stated in the quote applies; if there is none, they are passed on after prior agreement. If a domain is “included” in the quote (e.g. for the first two years), this only applies to a standard domain (e.g. .de or .com) and only for the period stated in the quote; afterwards the Customer bears the domain fees.
§ 7 Acceptance
(1) Work services (e.g. creating a website) must be accepted by the Customer after notice of completion. Acceptance may not be refused because of insignificant defects.
(2) The service is deemed accepted if the Customer does not report material defects in text form within 14 days of our notice of completion or already uses the website productively.
§ 8 Rights of use and references
(1) Upon full payment the Customer receives the non-exclusive right, unlimited in time and territory, to use the work results created for it (design, texts, programming) for its purposes. Rights to tools, building blocks, templates and general know-how that we already own before or independently of the project remain with us; the Customer receives the rights to them that are necessary to use the work result.
(2) The respective licence terms apply to software, fonts, images and other third-party content (including open-source software). We inform the Customer of licence conditions and obligations known to us (e.g. attribution for stock photos) and, where agreed, acquire licences in such a way that the Customer receives the right of use. After handover the Customer must comply with such obligations and tell us about changes to images and content.
(3) We may name the project – with the Customer's name, screenshots and link – as a reference on our website and in our marketing materials if the Customer has consented. Consent may be given in text form (e.g. by email or messenger) and may be withdrawn at any time with effect for the future; we will then remove the reference within a reasonable period. We only publish a customer testimonial (quote) with separate consent to its specific wording.
§ 9 Hosting, maintenance and ongoing services
(1) Hosting, maintenance and similar ongoing services are provided in accordance with the respective quote. Unless agreed otherwise, they run for an indefinite period and can be terminated by either party in text form with one month's notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.
(2) We owe careful support but not uninterrupted availability. We are not responsible for outages caused by services or disruptions of third-party providers (e.g. hosting, domain or platform providers), provided we have fulfilled our duties of care.
(3) On request, domains are registered in the Customer's name. The Customer is responsible for renewal and payment of domain fees unless agreed otherwise.
(4) After the end of the contract we hand over to the Customer, on request, the data and access required to continue operating the website, provided the Customer has fulfilled its payment obligations.
§ 10 Search engine optimisation
Search engine optimisation (SEO/AIO) is a service. A particular ranking in search engines or in AI-supported answers, a particular reach or a particular economic success is not owed, as these depend on factors we cannot influence (in particular the algorithms and policies of the providers).
§ 11 Warranty
(1) The Customer must report obvious defects in text form without delay and describe them. Hidden defects must be reported without delay after discovery.
(2) In case of justified defects we first have the right to remedy (rectification or new production). If remedy fails, the statutory rights apply. Claims for defects become time-barred twelve months after acceptance. This does not apply in cases of intent, fraudulent concealment, a guarantee given, injury to life, body or health, or where the law mandatorily prescribes longer periods.
(3) Deviations resulting from peculiarities of browsers and devices, from subsequent changes by the Customer or third parties, or from changes at third-party providers are not defects.
§ 12 Liability
(1) We are liable without limitation in cases of intent and gross negligence, for injury to life, body or health, under the Product Liability Act and to the extent of a guarantee given by us.
(2) In case of slightly negligent breach of essential contractual obligations (obligations whose fulfilment is a prerequisite for proper performance of the contract and on whose observance the Customer may regularly rely), our liability is limited to the typical, foreseeable damage. Otherwise liability for slightly negligent breaches of duty is excluded.
(3) Where we are liable under paragraph 2 for slight negligence, liability is limited in amount to the order value of the respective contract and, for ongoing services (e.g. hosting, maintenance), to the remuneration paid in the twelve months before the damaging event.
(4) We are only liable for loss of data if the Customer has backed up its data regularly and in line with the risk or – where maintenance has been agreed – we culpably failed to carry out the agreed backup, and only up to the effort that would have been needed to restore the data with regular, risk-appropriate backups.
(5) We do not check the content supplied by the Customer for lawfulness (e.g. competition, trademark or copyright law, advertising law for medicinal products). The Customer is responsible for this.
(6) The above limitations of liability also apply in favour of our vicarious agents and legal representatives. They do not apply where mandatory statutory provisions provide otherwise.
§ 13 Data protection and data processing
(1) We comply with the provisions of the GDPR. Information on the processing of personal data can be found in our privacy policy.
(2) Insofar as we process personal data on behalf of the Customer in the context of hosting, maintenance or support, the parties will, on request, conclude a data processing agreement under Art. 28 GDPR. The Customer remains responsible for the lawfulness of data processing on its website, in particular for the legal notice, privacy policy and consents, unless expressly agreed otherwise.
§ 14 Confidentiality
Both parties treat confidential information of the other party that becomes known to them in the course of the cooperation as confidential and use it only for the purpose of the contract. This obligation does not apply to information that is publicly known or must be disclosed by law.
§ 15 Final provisions
(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.
(2) If the Customer is a merchant, a legal entity under public law or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from the contractual relationship is Lahr (Schwarzwald), to the extent legally permissible.
(3) Amendments and supplements to the contract require text form. This also applies to the waiver of this text-form requirement.
(4) Should individual provisions of these Terms be or become invalid in whole or in part, the validity of the remaining provisions remains unaffected. The statutory provision replaces the invalid provision.
(5) Language: the German version of these Terms is authoritative. Translations (English, Arabic) serve only to aid understanding. Unless agreed otherwise, the contract language is German.
